Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Xache platform, APIs, SDKs, website (xache.xyz), console (app.xache.xyz), documentation (docs.xache.xyz), and all related services (collectively, the "Service") provided by Agentic Memory Systems ("AMS", "we", "us", "our"), operating as Xache.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account and Access

3.1 Registration. Access to the Service requires a blockchain wallet (EVM-compatible or Solana). Your wallet address serves as your account identifier. You are responsible for maintaining the security of your private keys and wallet credentials.

3.2 API Keys. You may generate API keys through the Xache Console. You are responsible for all activity that occurs under your API keys. Do not share or expose your API keys publicly.

3.3 Agent Identity. Agents registered with Xache receive DID-based identities (did:agent:evm:<address> or did:agent:sol:<address>). You are responsible for all actions taken by agents registered under your account.

4. Use of the Service

4.1 Permitted Use. You may use the Service to store, retrieve, and manage memory for AI agents; manage ephemeral context sessions; build and query knowledge graphs; extract structured information from agent traces; participate in the collective intelligence marketplace; and export reputation scores.

5. Pricing and Payment

5.1 Pay-Per-Operation. The Service uses pay-per-operation pricing. There are no subscriptions, minimum commitments, or recurring fees. Current pricing is published on the Xache website and may be updated from time to time with reasonable notice.

5.2 x402 Payment Protocol. Payments are processed via the x402 micropayment protocol using USDC stablecoins on Base (EVM) and Solana networks. Each paid API call triggers an HTTP 402 response; your SDK signs a payment authorization which is verified before the operation is processed.

5.3 Budget Guardrails. You may configure per-agent and workspace-level budget caps. The Service provides alerts at 50%, 80%, and 100% utilization and throttles operations at 90% budget utilization. Budget caps are advisory safeguards — you are responsible for monitoring your spending.

5.4 Refunds. Given the micropayment nature of the Service and the fact that each operation generates an immutable cryptographic receipt, refunds are generally not available for completed operations. If you believe you were incorrectly charged, contact us at [email protected].

5.5 Free Operations. Certain operations are included at no additional cost: ephemeral slot reads and writes (covered by session fee), daily blockchain anchoring (batched at midnight UTC), memory listing, session listing, and statistics queries.

6. Data Ownership and Encryption

6.1 Your Data. You retain all rights, title, and interest in your data. We do not claim ownership over any memory content, knowledge graph data, or agent traces you submit to the Service.

6.2 Client-Side Encryption. Memory content is encrypted on your device using XSalsa20-Poly1305 before transmission. Knowledge graph entity names are encrypted client-side. Subject identifiers are derived using HMAC-SHA512/256. We operate a zero-knowledge architecture — we cannot access your plaintext data.

6.3 Encryption Key Responsibility. You are solely responsible for the security and backup of your encryption keys and wallet private keys. Loss of encryption keys results in permanent inability to decrypt your data. We cannot recover lost keys.

6.4 Data Deletion. You may delete individual memories, sessions, or your entire account at any time via the API. Deleted data is removed from our storage systems. On-chain Merkle anchors are permanent by nature of blockchain technology but contain no plaintext data.

7. Blockchain and Smart Contracts

7.1 Immutability. Receipts anchored on Base and Solana blockchains are immutable. Once a Merkle root is published on-chain, it cannot be modified or deleted. You acknowledge and accept this fundamental property of blockchain technology.

7.2 ERC-8004 Reputation. If you opt-in to export reputation scores via ERC-8004, these scores are published on-chain and are publicly visible. Reputation export is voluntary and requires explicit action.

7.3 Network Risks. Blockchain networks are subject to congestion, forks, and other risks outside our control. We do not guarantee the timing or finality of on-chain transactions.

8. Collective Intelligence Marketplace

8.1 Contributions. If you contribute patterns to the collective intelligence marketplace, you grant a non-exclusive, worldwide license for other users to access and use those contributions through the Service. You retain ownership of the underlying intellectual property.

8.2 Royalties. Contributors earn royalties when their contributed patterns are used by other agents. Royalty rates and distribution mechanics are determined by the Service and may be adjusted from time to time.

8.3 Quality Standards. Contributions are quality-scored based on success rate, sample size, and confidence metrics. We reserve the right to remove low-quality or abusive contributions.

9. SDKs and Integrations

9.1 License. Xache SDKs (@xache/sdk, xache for Python) and integration packages (LangChain, CrewAI, AutoGen, OpenClaw, MCP Server) are provided under their respective open-source licenses as published in their package repositories.

9.2 BYO-LLM. When using BYO-LLM extraction, you are responsible for compliance with the terms of service of your chosen LLM provider. Xache acts as a stateless proxy and does not store your LLM API keys.

10. Service Level and Availability

10.1 Availability. We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

10.2 Performance. Target performance metrics (e.g., sub-50ms hot tier access) are goals, not guarantees. Actual performance may vary based on network conditions, data volume, and other factors.

10.3 Modifications. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to provide advance notice of material changes.

11. Intellectual Property

The Service, including its software, APIs, documentation, design, and branding, is the property of Agentic Memory Systems and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless AMS and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

15.1 By You. You may stop using the Service at any time. You may delete your data via the API before discontinuing use.

15.2 By Us. We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or for any other reason with reasonable notice. In case of termination, we will make commercially reasonable efforts to allow you to export your data.

15.3 Survival. Sections relating to data ownership, limitation of liability, indemnification, and governing law survive termination.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

18. Miscellaneous

18.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and AMS regarding the Service.

18.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

18.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
